1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Axora Solutions Ltd ("Company," "we," "us," or "our") concerning your access to and use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Services Description

Axora Solutions Ltd provides enterprise IT solutions including but not limited to:

  • Cloud Infrastructure design, migration, and management
  • Cybersecurity solutions and consulting
  • Digital Transformation consulting and implementation
  • Custom Software Development
  • Managed IT Services
  • Data Analytics and Business Intelligence
  • AI Solutions and implementation

The specific scope, deliverables, and terms of each service engagement will be defined in separate service agreements or statements of work.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. User Accounts and Registration

To access certain features of our services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

5. Acceptable Use Policy

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit any harmful, threatening, abusive, or defamatory content
  • Distribute malware, viruses, or other malicious code
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of our services
  • Collect or harvest information about other users without consent
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in any fraudulent, deceptive, or misleading practices

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of Axora Solutions Ltd and are protected by copyright, trademark, and other intellectual property laws.

6.2 Client Intellectual Property

You retain all rights to your data, content, and intellectual property that you provide to us. By using our services, you grant us a limited license to use, store, and process your content solely for the purpose of providing our services to you.

6.3 Work Product

Ownership of work product, deliverables, and custom developments will be specified in individual service agreements or statements of work.

7. Payment Terms

Payment terms for our services will be specified in individual service agreements. General payment terms include:

  • Fees are due as specified in the service agreement
  • Late payments may incur interest charges and service suspension
  • All fees are non-refundable unless otherwise stated in writing
  • We reserve the right to modify our pricing with advance notice
  • You are responsible for all applicable taxes

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of our services. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

9. Service Level Agreements

For managed services and ongoing support engagements, specific service level agreements (SLAs) will be defined in separate documents. These SLAs will specify availability guarantees, response times, and remedies for service failures.

10. Warranties and Disclaimers

10.1 Our Warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables will be outlined in individual service agreements.

10.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXORA SOLUTIONS LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE OUR SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES; OR (D) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Axora Solutions Ltd, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you provide to us.

13. Term and Termination

These Terms remain in effect while you use our services. We may suspend or terminate your access to our services at any time, with or without cause, with or without notice, effective immediately. Specific termination terms for service engagements will be outlined in individual service agreements.

Upon termination, your right to use our services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Dispute Resolution

14.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute informally by contacting us at hello@axorasol.com.

14.2 Mediation and Arbitration

If the dispute cannot be resolved informally within thirty (30) days, the parties agree to resolve the dispute through mediation or arbitration in accordance with the laws of Sri Lanka. The arbitration will be conducted in Mount Lavinia, Sri Lanka, and judgment on the arbitration award may be entered in any court having jurisdiction.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Mount Lavinia, Sri Lanka for the purpose of litigating all such claims or disputes.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

18. Entire Agreement

These Terms, together with any service agreements or statements of work, constitute the entire agreement between you and Axora Solutions Ltd regarding the use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
